Terms of Service

These Terms of Service (“Terms”) govern access to and use of the software platform, data services, and related offerings provided by Quantum Data Technologies (“QDT,” “we,” “us,” or “our”). By accessing or using the Services, you (“Customer” or “you”) agree to these Terms.

‍1. Scope of Services
‍QDT provides enterprise software tools for data aggregation, analytics, forecasting, simulation, and decision support (“Services”). The Services include access to the Quantum ML platform, the Quantum Data Lake, and optional professional services as described in applicable order forms.QDT provides software tools and informational outputs only. Customers retain full responsibility for interpretation, decision-making, and execution.

‍2. No Financial, Investment, or Trading Advice
‍The Services do not provide financial advice, investment advice, trading recommendations, or execution services.Outputs are analytical signals, forecasts, and data-driven insights

QDT does not recommend buying, selling, hedging, or holding any asset

All decisions made using the Services are solely the Customer’s responsibility

Customers are responsible for ensuring compliance with all applicable laws, regulations, and internal policies governing their use of information.

‍3. Decision Authority and Responsibility
‍QDT does not act as a fiduciary, advisor, broker, or agent.The Customer:Owns all decisions and actions taken using the Services

Is responsible for validating outputs against internal knowledge and constraints

Assumes all risk associated with reliance on analytical outputs

4. Data Sources and Reliability
‍QDT uses curated internal datasets, licensed third-party data, and customer-provided data. While QDT employs validation, quality controls, and monitoring, no dataset is guaranteed to be complete, current, or error-free.Outputs reflect statistical models and probabilistic methods, not certainties.

‍5. Generative AI and Analytical Outputs
‍Certain features use Generative AI and machine learning techniques to synthesize, summarize, or analyze data.Outputs may vary based on inputs, context, and data availability

Outputs should be treated as analytical aids, not factual assertions

QDT does not guarantee accuracy, completeness, or suitability for any specific decision

6. Educational Content
‍QDT may provide documentation, training materials, tutorials, and educational resources (“Educational Content”) to help users understand the platform and interpret outputs.Educational Content:Is informational only

7. Free Trials and Proof of Concept Engagements

7.1 Free Trial Environment

Free trials provide limited access to the platform for evaluation purposes only. Features, data access, and outputs may be restricted or time-delayed.Free trials:Are non-commercial

Carry no performance guarantees

May be modified or terminated at any time

7.2 Proof of Concept (PoC)
‍PoC engagements are fixed-scope, time-bound evaluations designed to assess feasibility and accuracy for specific use cases.PoCs:Do not guarantee future results

Do not constitute production deployment

Are governed by separate written scope and pricing

8. Data Access and Licensing
‍Data Lake access is licensed for in-platform use only unless explicitly stated otherwise.Download or export rights require a separate license

Licensing terms may vary by data provider

Unauthorized redistribution or external use is prohibited

9. Security, Compliance, and Governance
‍Quantum ML is purpose-built for enterprise security, compliance, and internal data management. QDT supports role-based access controls, encrypted data pipelines, and deployments across cloud, hybrid, or on-premise environments aligned with customer governance requirements.10. Intellectual PropertyAll QDT software, models, methodologies, and documentation are owned by QDT or its licensors.Customers retain ownership of their proprietary data. No ownership rights are transferred except as expressly stated.11. Acceptable UseCustomers agree not to:Reverse engineer or misuse the platform

Use outputs for unlawful purposes

Represent outputs as advice or guarantees

Circumvent licensing restrictions

12. Limitation of Liability
‍To the maximum extent permitted by law:QDT is not liable for indirect, incidental, or consequential damages

QDT’s total liability shall not exceed fees paid in the prior 12 months

QDT is not responsible for business decisions or outcomes

13. Indemnification
‍Customer agrees to indemnify QDT against claims arising from:Misuse of the Services

Unauthorized data use

Decisions or actions taken based on outputs

14. Term and Termination
‍These Terms remain in effect while Services are active.Either party may terminate for material breach with written notice if not cured.

‍15. Subscription Fees, Cancellation, and Refunds
‍Subscription fees are billed in advance and are cancelable with thirty (30) days’ written notice prior to the end of the current billing period.Except where required by law or explicitly stated in writing:Fees are non-refundable

Partial-period refunds are not provided

Cancellation is effective at the end of the notice period

Customers remain responsible for all charges incurred through the effective cancellation date.

‍16. Changes to Services
‍QDT may modify or enhance the Services over time. Material changes will be communicated where feasible.

‍17. Confidentiality
‍Each party agrees to protect the other’s confidential information using reasonable safeguards.

‍18. Governing Law
‍These Terms are governed by the laws of Canada, without regard to conflict-of-law principles.

‍19. Entire Agreement
‍These Terms, together with applicable order forms, constitute the entire agreement between the parties.
